Revised Bylaws - Treasurer
At the September 21st meeting, the Board of Directors passed revisions to bylaw Article IV, Section 5(d), regarding the Treasurer’s role, custody of funds, and expense payment procedures.
Article IV, Section 5(d) - (Officers - Treasurer) as AMENDED will read as follows:
The Treasurer is the primary custodian of Corporate funds. Shall keep accurate records of receipts, disbursements, bank transactions, invoices, and supporting documents to satisfy internal and external audit requirements. Shall make their records available to the President and the Finance Committee upon request. Shall maintain oversight of the financial account(s) of any Board authorized committee(s), including receipts, disbursements, bank transactions, invoices, and other records thereof. Shall support a third-party accounting firm or similar entity in filing all required government tax and other reports by their due dates. May countersign, as needed, all deeds, leases, and any other legal conveyances executed on behalf of the Corporation. Shall perform such additional duties as are customarily associated with the office.
Prior to amendment, Article IV, Section 5(d) - (Officers - Treasurer) read as follows:
The Treasurer shall be the custodian of all Corporate Funds. Will keep an accurate record of all receipts, disbursements, and banking transactions. Will, at the direction of the Board, pay all bills and keep a file of all original invoices. Will support activities of third-party accounting firm to file all governmental tax and other reports prior to due dates. Along with the President may countersign all deeds, leases and any other legal conveyances executed by the Corporation. Will make all of their records available to the President and the Finance Committee. Shall perform such duties as usually devolve upon such office.
